Form I-956K, Registration for Direct and Third-Party Promoters, is the USCIS registration that each person promoting a regional center EB-5 offering must file, including migration agents, subagents and employees of promoter firms.

What it decides

8 U.S.C. 1153(b)(5)(K)(i)(I) requires direct and third-party promoters, expressly including migration agents, to register with USCIS when they act for a regional center, a new commercial enterprise, an affiliated job-creating entity or an issuer of securities offered to investors in a capital investment project. "Direct" describes the promoter's own relationship with those entities rather than the standalone investment route, since the instructions reach only promotion under the Regional Center Program. Registration is personal, so a subagent or an employee of a promoter files their own I-956K and names the firm that engaged them, while a regional center, new commercial enterprise or job-creating entity that promotes only its own offering through a related filing such as Form I-956F does not file separately. USCIS says a promoter should register before operating for those entities, must file the form separately from Form I-956F, and must amend it whenever the list of entities changes, relisting every current entity and not only the one added or dropped. The registration confirms the written agreement that 1153(b)(5)(K)(iii) requires between each entity and its promoters, filed with a copy attached, and carries a certification under penalty of perjury that the promoter is not ineligible under 1153(b)(5)(H)(i). A promoter who violates these rules shall be suspended or permanently barred from the regional center program. The filing fee is $0.
