Form I-956G
Also called I-956G, Regional Center Annual Statement.
Form I-956G, Regional Center Annual Statement, is the yearly filing every designated regional center must submit to support its continued eligibility for designation, accounting for investor capital, project progress, fees collected from investors and required compliance certifications.
What it decides
It covers each federal fiscal year, 1 October to 30 September, and is due on or before 29 December of the calendar year in which that fiscal year ended, per the form instructions. A center whose designation letter is dated on or after 1 October files its first statement by 29 December of the following calendar year. The statement is required by 8 U.S.C. 1153(b)(5)(G)(i), which sets out its contents: an accounting of all investor capital, and for each new commercial enterprise the aggregate capital invested, evidence that 100 percent of it is committed to the project, evidence of progress toward completion, the aggregate direct jobs created or preserved, and an accounting of every fee collected from investors. It must also carry the securities law certification that 8 U.S.C. 1153(b)(5)(I)(ii)(II) requires a regional center to reissue annually. A deficient statement is not simply void: 1153(b)(5)(G)(ii) directs USCIS to require an amendment or supplement, and the instructions say an incompletely filled form may be rejected or sent back for amendment. Sanctions under 1153(b)(5)(G)(iii) are mandatory if the center fails to file, or if it knowingly submits a statement containing an untrue statement of material fact; the graduated set runs from fines of up to 10 percent of the capital invested, through temporary suspension and permanent bar, to termination of designation. Under 1153(b)(5)(G)(iv) the regional center itself, not USCIS, must make the filed statement and any amendments available to an investor within 30 days of a request, redacted to exclude anything unrelated to that investor or the enterprise invested in. It replaced Form I-924A. The filing fee is $3,035. The EB-5 Integrity Fund annual fee, $20,000 or $10,000 for a center with 20 or fewer investors in the preceding fiscal year, is a separate charge collected each 1 October under 1153(b)(5)(J)(ii)(I).
